Provides paralegal services to in-house Legal Department consisting of five attorneys and three other paralegals. Position reports to Compliance Manager & Senior Paralegal.
Primary Duties and Responsibilities: Manage corporate domestic licensing program including business licenses and occupational licenses in multiple states. Track outside counsel costs and process outside invoices utilizing Legal Tracker software. Request bonds from bonding company, obtain signatures and track same. Assist with maintenance of corporate books for 20+ subsidiaries. Draft corporate charter documents and corporate governance documents including but not limited to Articles of Organization, Operating Agreements, Minutes and Resolutions; route same for signatures and file same with State. Manage drafting, execution and tracking of intercompany agreements and maintain database for same. Assist Compliance Manager & Senior Paralegal with the Legal Department’s biennial review of its policies and work with other Department Heads to review their policies in a timely manner. Partner with Attorneys to draft, issue and track litigation hold notices. Assist in the development and centralization of databases to track corporate and government compliance. Assist with managing requests for information from various government agencies and other internal Departments. Prepare first drafts of routine correspondence (choose the right letterhead, understand tone of business correspondence, etc.) and assist with formatting, distribution, and tracking of same. Regularly interact with Presidents of subsidiaries and Departments as representative of Legal Department. Assist with Legal Department Records Management including maintenance of electronic litigation files. Assist Compliance Manager & Senior Paralegal with special projects as assigned including but not limited to the distribution and collection of the Annual Disclosure Form, tracking real property leases, drafting and tracking intercompany subleases, corporate signage compliance, etc. Assist Chief Compliance Officer and Chief Legal Officer & General Counsel with special projects as assigned. Other duties as assigned.
Required Qualifications and Experience: Paralegal certification and/or a Bachelor's degree. 3+ years of relevant work experience (including, but not limited to, executive assistant, paralegal, compliance, accounts payable, budgeting, or other relevant experience) may be substituted for the certification or degree. A minimum of 3 years’ paralegal experience or 3 years of other relevant experience. Ability to communicate effectively both in a formal legal setting as well as in internal communications with business and legal professionals. Ability to handle highly confidential information discreetly and professionally. Task-oriented with excellent sense of prioritization, and highly organized with the ability to manage multiple tasks and work under pressure. Ability to work individually as well as in a team. Understanding of government contracting, corporate governance principles and basic contract principles a plus. Experience drafting correspondence and legal documents. Ability to continuously track and monitor various reporting requirements and other company information. Proficient in various standard PC-based software packages, including Microsoft Word, Outlook, Excel, PowerPoint, Adobe Professional, DocuSign and other legal software applications (such as Legal Tracker, Westlaw, PACER). Experience with government contracting a plus. Experience with Small Business Administration 8(a) Business Development Program a plus.
